    JCB and American Express have entered an alliance covering their Merchant
    business in New Zealand and several other countries.

    The agreement includes Merchant acquisition, processing and servicing
    arrangements by American Express for JCB in New Zealand.

    The changeover from JCB to American Express will begin from mid-January 2002
